Terms of Service
Effective date: October 12, 2026 · Version: 2026-10-12
MindMaven (the "Service"), including its website and web app, is owned and operated by Thordin AI LLC ("Thordin AI," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Service.
By creating an account, by checking the box or clicking "I agree" when we ask, or by using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you confirm that you have authority to bind it. You must be at least 18 years old to use the Service. If you do not agree to these Terms, do not use the Service.
IMPORTANT: PLEASE READ SECTION 14 CAREFULLY. It requires disputes to be resolved through binding individual arbitration instead of in court, and it includes a waiver of class action and jury trial rights. You have 30 days to opt out of the arbitration agreement, as described in Section 14.10.
1. Accounts
1.1 Creating an account. You need an account to use the Service. You agree to provide accurate information and to keep it current. You may delete your content at any time from Settings, and you may ask us to close your account by emailing legal@thordinai.com. We may suspend or terminate accounts as described in Section 10.
1.2 Account security. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away at legal@thordinai.com if you believe someone has accessed your account without permission. We are not liable for losses caused by your failure to keep your credentials secure.
2. Using the Service
2.1 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial purposes.
2.2 Restrictions. You may not: (i) sell, rent, license, or commercially exploit the Service; (ii) copy, modify, reverse-engineer, decompile, or create derivative works from any part of the Service, except as the law allows; (iii) use the Service to build a competing product; (iv) scrape, harvest, or collect other users' information, including names, email addresses, or content; (v) interfere with or attempt to bypass the Service's security, access controls, or usage limits; or (vi) use the Service in violation of any law.
2.3 Changes to the Service. We may change, suspend, or discontinue all or part of the Service at any time. We are not liable to you or anyone else for doing so.
2.4 Ownership. The Service, including its software, design, and content we provide, belongs to Thordin AI or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership to you. All rights not expressly granted are reserved.
2.5 Feedback. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.
2.6 Points, levels, and badges. Points, levels, and badges measure your activity in the Service. They have no cash value, cannot be bought, sold, transferred, or exchanged for money or anything else, and are not your property. We may adjust or remove points or badges at any time, including where we believe they were earned through abuse, such as trading likes or using multiple accounts, and we may change how they are earned.
3. Your Content
3.1 What counts as your content. "Your Content" means anything you add to the Service, including goals, milestones, journal entries, messages, AI Coach and Goal Coach conversations, study material, community posts, comments, images, and your profile picture.
3.2 You own your content. You keep ownership of Your Content. You grant Thordin AI a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and modify Your Content only as needed to operate, secure, and improve the Service for you and, for content you choose to share, to show it to the people you share it with.
3.3 What is private and what is shared. Goals, milestones, journal entries, and your AI conversations are private to your account. Community posts, comments, likes, community challenges, and your public profile (display name, username, profile picture, points, level, badges, and streak) are visible to other signed-in members. Challenges you share only with friends are visible to the people you invite. Your friends list and direct messages are visible to you and the people involved. See the Privacy Policy for details.
3.4 Your responsibilities. You are responsible for Your Content and confirm that you have the rights needed to share it. You agree not to post or send content that is unlawful, harassing, hateful, threatening, sexually explicit, deceptive, or that infringes anyone's rights, or that contains another person's private information without their permission. Members can report content and other members to us. We may review reports, remove content, and suspend or close accounts that we believe violate these Terms, but we are not obligated to monitor content.
4. AI Features
4.1 How they work. The AI Coach, Goal Coach, progress analysis, goal ideas, journal prompts, focus-time suggestions, Study Hub, and check-in emails generate responses using third-party artificial intelligence models. To produce a response, the relevant information (for example your message, goals, milestones, recent journal entries, or calendar events) is sent to those models.
4.2 Not professional advice. AI output may be inaccurate, incomplete, or inappropriate for your situation. The Service is a personal development tool. It does not provide medical, mental health, legal, financial, or other professional advice, and it is not a substitute for a qualified professional. Do not rely on AI output for decisions about your health, safety, finances, or legal rights. If you are in crisis or may be at risk of harming yourself or others, contact local emergency services immediately.
4.3 Your use of output. You are responsible for how you use AI output. Similar requests from other users may produce similar output, and output is not your exclusive property.
5. Subscriptions and Payments
5.1 Plans. The Service offers a free plan and a paid "Premium" subscription. We may also grant Premium at no charge, for example as a promotion; complimentary Premium can be withdrawn at any time. Plan features and prices are shown on the Plans page and may change.
5.2 Billing and renewal. Premium is billed in advance on a monthly or yearly basis through our payment processor, Stripe. Your subscription renews automatically at the end of each billing period, at the then-current price, until you cancel. By subscribing, you authorize recurring charges to your payment method. We will give you notice before any price change takes effect.
5.3 Cancellation. You can cancel at any time before your next renewal by contacting legal@thordinai.com. Cancellation takes effect at the end of the current billing period, and you keep Premium access until then.
5.4 Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
5.5 Taxes. Prices may not include applicable taxes, which you are responsible for paying.
6. Privacy
Your use of the Service is also governed by our Privacy Policy, which is part of these Terms. It explains what personal information we collect, how we use it, and the choices you have. If these Terms and the Privacy Policy conflict about personal information, the Privacy Policy controls.
7. Third-Party Services and Other Users
7.1 Third-party services. The Service works with third-party services, such as Google Calendar (if you connect it), Stripe (for payments), our hosting and platform provider, and AI model providers. We do not control those services and are not responsible for them. Your use of a third-party service is also governed by that provider's own terms and privacy policy.
7.2 Other users. Your interactions with other users are between you and them. We are not responsible for other users' conduct or content, though we may, but are not required to, step in to disputes between users.
7.3 Release. To the fullest extent permitted by law, you release Thordin AI and its members, officers, employees, and agents from claims arising out of other users' conduct or content, or your use of third-party services. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor or released party."
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, THORDIN AI AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT REMINDERS, EMAILS, OR CALENDAR EVENTS WILL BE DELIVERED. WHERE THE LAW REQUIRES A WARRANTY, IT IS LIMITED TO 90 DAYS FROM YOUR FIRST USE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) THORDIN AI AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, COSTS OF SUBSTITUTE SERVICES, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE; AND (B) OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (i) $50 USD AND (ii) THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. MULTIPLE CLAIMS DO NOT INCREASE THIS LIMIT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
10. Indemnification
You agree to defend, indemnify, and hold harmless Thordin AI and its members, officers, employees, and agents from any claims and reasonable costs, including attorneys' fees, arising out of (i) Your Content, (ii) your use of the Service, (iii) your violation of these Terms, or (iv) your violation of any law or the rights of others. We may take control of the defense of any such claim at your expense, and you agree to cooperate. You may not settle any such claim without our prior written consent.
11. Term and Termination
These Terms apply while you use the Service. We may suspend or terminate your access, and delete your content, at any time, including if we reasonably believe you have violated these Terms or to protect the Service or other users. If you believe your account was suspended by mistake, contact legal@thordinai.com. You may stop using the Service at any time. Sections 2.2 through 2.5, 3.2, 3.4, 4.2, 4.3, 5.4, and 6 through 14 survive termination.
12. State-Specific Notices
12.1 California. Under California Civil Code Section 1789.3, California users are entitled to this notice: the Service is provided by Thordin AI LLC, legal@thordinai.com. To file a complaint or request further information, contact us at that email address. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 N. Market Blvd., Suite N112, Sacramento, CA 95834, or by phone at (800) 952-5210. California residents may have additional privacy rights described in our Privacy Policy.
12.2 Other U.S. states. Residents of Colorado, Connecticut, Virginia, Texas, Oregon, and other states with comprehensive privacy laws may have additional rights over their personal information, described in our Privacy Policy. Nevada residents may direct us not to sell their information by emailing legal@thordinai.com; we do not sell personal information.
13. General
13.1 Changes to these Terms. We may update these Terms. If we make material changes, we will notify you by email or in the Service and may ask you to accept the updated Terms before you continue using the Service. Changes do not apply retroactively.
13.2 Governing law. These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, and by the Federal Arbitration Act. For any claim not subject to arbitration under Section 14, you and Thordin AI consent to the exclusive jurisdiction of the state and federal courts located in Duval County, Florida. Either party may still bring an action in any court of competent jurisdiction for injunctive relief to protect intellectual property, and either party may bring an individual action in small claims court.
13.3 Electronic communications. You consent to receive communications from us electronically, by email or in the Service. These satisfy any legal requirement that communications be in writing.
13.4 Export. You agree not to use or export the Service in violation of U.S. export control or sanctions laws.
13.5 Accessibility. We aim to make the Service accessible to everyone and work toward the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA. If you have trouble using any part of the Service, contact legal@thordinai.com.
13.6 Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Thordin AI about the Service. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. "Including" means "including without limitation." You may not assign these Terms without our written consent; we may assign them freely.
13.7 Copyright and trademarks. Copyright © 2026 Thordin AI LLC. All rights reserved. "MindMaven" and its logos are trademarks of Thordin AI LLC.
13.8 Contact. Thordin AI LLC, legal@thordinai.com.
14. Dispute Resolution
Please read this section carefully. It affects your legal rights, including your right to sue in court and to a jury trial.
14.1 Applicability. Except as described below, you and Thordin AI agree to resolve all disputes arising out of or relating to these Terms or the Service through binding individual arbitration, not in court. The exceptions are: (i) individual claims that qualify for small claims court; and (ii) requests for equitable relief to protect intellectual property. This agreement applies to claims that arose before you accepted these Terms.
14.2 Try to resolve it first. Before starting arbitration, the party raising the dispute must send the other a written notice (an "Informal Notice") describing it. Send notices to us at legal@thordinai.com. Within 45 days after receiving an Informal Notice, the parties will meet by phone or video in good faith to try to resolve it. If the dispute is not resolved within 60 days after the Informal Notice was received, either party may start arbitration.
14.3 Arbitration rules. Arbitration will be administered by JAMS (www.jamsadr.com). Claims under $250,000 (excluding fees and interest) will use JAMS' Streamlined Arbitration Rules; larger claims will use JAMS' Comprehensive Arbitration Rules. Unless the parties agree otherwise, the arbitration will take place in the county where you live or by video. Arbitration materials are confidential.
14.4 Demand requirements. A demand for arbitration must include: (i) your name, contact information, and the email address on your account; (ii) a description of the claims and supporting facts; (iii) the relief sought and a good-faith estimate of damages; (iv) confirmation that you completed the process in Section 14.2; and (v) proof of payment of any required filing fee.
14.5 Authority of the arbitrator. The arbitrator decides all arbitrable disputes, including the scope and enforceability of this agreement, except that a court decides: (i) challenges to the class action waiver; (ii) disputes about arbitration fees; (iii) whether a condition to arbitration has been met; and (iv) which version of this agreement applies. The arbitrator may award the same individual relief a court could. The award is final and binding, and judgment may be entered in any court with jurisdiction.
14.6 Jury trial waiver. BY AGREEING TO ARBITRATION, YOU AND THORDIN AI WAIVE THE RIGHT TO A TRIAL BY JUDGE OR JURY FOR ALL COVERED CLAIMS.
14.7 Class action waiver. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. NEITHER YOU NOR THORDIN AI MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. If a court finds this waiver unenforceable as to a specific claim, that claim will be decided in the state or federal courts in Duval County, Florida, and all other claims remain subject to arbitration.
14.8 Attorneys' fees. Each party pays its own attorneys' fees, unless the arbitrator finds a claim was frivolous or brought for an improper purpose.
14.9 Batch arbitration. If 100 or more substantially similar demands are filed against Thordin AI within a 30-day period by the same law firm or coordinated group, JAMS will group them into batches of 100, with one arbitrator and one set of fees per batch.
14.10 Opt-out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms by emailing legal@thordinai.com with your name, the email address on your account, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
14.11 Severability. If any part of this Section 14 is found invalid, it will be modified to the minimum extent necessary to be enforceable, and the rest of this Section will remain in effect.
